Sell-side representation

We help owners prepare for a sale: cleaning up corporate records, reviewing contracts for change-of-control and assignment issues, negotiating the letter of intent, managing due diligence, and drafting or negotiating the purchase agreement, disclosure schedules, and closing documents. The goal is to protect the price you agreed to and limit what can come back to you after closing.

Buy-side representation

For buyers, we run legal due diligence, identify liabilities hidden in leases, contracts, employees, taxes, and litigation, and negotiate representations, warranties, indemnities, escrows, and holdbacks that match the real risk. We also coordinate with lenders, SBA financing, accountants, and brokers so the deal actually closes.
